PRIVACY POLICY

Contents

1. Introduction

Agtive ("Agtive", "Platform", "we", "us", "our") is an agri-commerce and agri-services platform operated by ____________________ accessible via ____________________ (website) and ____________________ (mobile application) (collectively, the "Platform"). Agtive connects Farmers, Dealers, Sub-Dealers, Retailers, Warehouse and Logistics Partners, Influencers/Agri-Advisors, and Partner and Non-Partner Sellers, to enable the discovery, listing, sale, purchase, storage, and delivery of crop-nutrition, fertilizer, crop-protection, and other agricultural and allied products — both from the Agtive (Agtive.in) and from third-party non-partner brands listed on the Platform.

We know how much trust you place in us when you share your personal data, and we take that responsibility seriously. This Privacy Policy describes, in detail, the personal data we collect from or about you, how and why we collect it, how we use and share it, how we protect it, and the choices and rights available to you. By accessing or using the Platform, or by providing your personal data to us, you agree to the collection, use, storage, disclosure and other processing of your information as described in this Policy.

This Privacy Policy applies to all categories of Platform users described in Section 2, unless the personal data relates to a current, former or prospective employee of the Agtive, which is governed by a separate internal HR privacy notice. This Policy should be read together with our Terms of Use and any category-specific onboarding agreement (e.g., Dealer Agreement, Seller Agreement, Warehouse Partner Agreement, Influencer Agreement).

2. Scope — Who This Policy Covers

3. Our Commitment to Compliance

Agtive endeavours to comply with applicable Indian data protection and privacy laws, including the Information Technology Act, 2000 and the rules made thereunder, and the Digital Personal Data Protection Act, 2023 ("DPDP Act"), as and when it comes into force, together with any sector-specific regulations applicable to the sale, storage, and distribution of agricultural inputs, fertilizers and crop-protection products. This Policy has a defined scope and application, and the specific rights and obligations described herein may vary depending on your user category, the products involved, and your jurisdiction.

4. What Personal Data Do We Collect?

"Personal data" means any data about an individual who is identifiable by or in relation to such data. Once you provide us your personal data, you are not anonymous to us. Where possible, we indicate which fields are mandatory and which are optional — you may always choose not to provide optional information, though this may limit your ability to use certain features. We collect the following broad categories of personal data (see Appendix A for detailed, category-wise examples):

4.1 Information You Give Us

4.2 Information We Collect Automatically

4.3 Information from Other Sources

5. How Do We Collect Your Personal Data?

We collect personal data in the following ways:

6. Cookies and Other Tracking Technologies

We use "cookies" and similar technologies on certain pages and screens of the Platform to help us analyse web/app page flow, remember your sign-in and preferences, measure promotional effectiveness, personalise content, and promote trust and safety. "Cookies" are small files placed on your device that assist us in providing our services. Most cookies are "session cookies" and are automatically deleted at the end of a session; others persist to remember your preferences across visits.

You are always free to decline or delete cookies through your browser or device settings, although you may then be unable to use certain Platform features, such as adding items to cart, checking out, or staying signed in. Certain pages of the Platform may also contain cookies placed by third parties (for example, analytics providers such as Google Analytics), over whose use of cookies we have no control. You can learn more about, and opt out of, Google Analytics at https://tools.google.com/dlpage/gaoptout.

7. Why Do We Use Your Personal Data?

We use personal data to operate, provide, and continually improve the Platform and the services offered through it, including to:

8. Your Consent

We collect, use and disclose your personal data only where we have a valid basis to do so — typically your consent, or as necessary to perform a contract with you (e.g., fulfilling your order), or to comply with a legal obligation. Depending on the sensitivity of the personal data, your consent may be express (e.g., a KYC declaration you sign or click-accept) or implied through your continued use of the Platform after being notified of this Policy.

Certain onboarding flows (Dealers, Sub-Dealers, Retailers, Warehouse Partners, Influencers, Sellers) may require additional, purpose-specific consents — for example, for credit checks, GST invoicing, or payout processing — as part of the relevant onboarding agreement. Where we intend to use your personal data for a materially new purpose not disclosed at the time of collection, we will seek your consent before doing so.

You may withdraw consent previously given by writing to us at the address in Section 21, subject to legal or contractual restrictions and reasonable notice. Withdrawal of consent will not be retroactive, and may limit or prevent our ability to continue providing certain products or services to you.

9. When and With Whom Do We Share Your Personal Data?

Information about our users is an important part of our business, and we are not in the business of selling personal data. We share personal data only as described below, and with recipients who are required to protect it consistently with this Policy:

Other than as set out above, you will receive notice when your personal data might be shared with third parties for a materially new purpose, and you will have an opportunity to choose not to share such information, where feasible.

10. Loyalty, Referral and Incentive Programs

Agtive may offer loyalty, rewards, referral, or incentive programs (for example, "____________________") to Farmers, Dealers, Sub-Dealers, Retailers, and Influencers to encourage repeat purchase, timely fulfilment, or successful referrals. If you enrol in such a program, we will collect and store personal data such as your name, contact number, e-mail address, location, sales/referral activity, and payout/bank details, whether provided directly to us or to a third-party program partner. Where a third-party partner collects your personal data directly, your interaction with such partner will be governed by their own privacy policy, and Agtive shall not be responsible for their privacy practices.

11. How Secure Is Your Personal Data?

We design our systems and processes with your security and privacy in mind, and maintain reasonable physical, technical, procedural and organisational safeguards appropriate to the sensitivity of the personal data we hold, including:

Despite these safeguards, no method of transmission over the internet or electronic storage is completely secure, and we cannot guarantee absolute security. We may occasionally request proof of identity before disclosing personal data to you, and we encourage you to protect your account credentials and sign out after using shared or public devices.

12. Data Retention

We retain personal data only for as long as necessary to fulfil the purposes described in this Policy, to comply with our legal, accounting, tax, and regulatory obligations (including any record-keeping requirements applicable to fertilizer and agri-input trade), or to resolve disputes and enforce our agreements. Where personal data is no longer required, we securely delete or anonymise it, subject to applicable law. We may retain data in anonymised or aggregated form for analytical and research purposes without further restriction.

13. What Choices and Rights Do You Have?

You have the following choices and rights in relation to your personal data, subject to applicable law:

To exercise any of these choices or rights, please write to us at ____________________, clearly describing the personal data and the action you would like us to take. We may request additional information to verify your identity before acting on your request, and we will respond within the timeframe required by applicable law.

Please note that certain choices — for example, withdrawing KYC consent as a Dealer, Sub-Dealer, Retailer, Warehouse Partner, or Seller — may affect our ability to continue onboarding or transacting with you on the Platform.

14. Third-Party Links, Partner and Non-Partner Products

The Platform may contain links to third-party websites, applications, or social-media handles, and may list products from non-partner brands that are not part of the Agtive. We are not responsible for, and this Policy does not apply to, the privacy practices of such third parties. We encourage you to review the privacy policies of any third-party site, app, brand, or service before sharing your personal data with them. Where required for order fulfilment, prescription-based or regulated products may involve additional verification steps with the relevant seller or regulatory body.

15. Advertising and Personalisation

We and our advertising partners may use personal data (such as an advertising identifier, device identifier, or a cryptographically hashed identifier derived from information like an e-mail address) to show you more relevant offers and agri-input recommendations on and off the Platform. We do not share your name or other directly identifying information with advertising partners for this purpose. You may manage your advertising and personalisation preferences through your account settings or your device's advertising-ID settings, where available.

16. Minors

Use of the Platform is available only to persons who can form a legally binding contract under applicable Indian law, including the Indian Contract Act, 1872. We do not knowingly solicit or collect personal data from individuals under the age of 18. If you are a minor, you may use the Platform only with the involvement and consent of a parent or legal guardian. If you believe a minor has provided us personal data without appropriate consent, please contact us using the details in Section 21 so that we may take appropriate action.

17. Storage and Cross-Border Transfer of Data

Your personal data is primarily collected, stored and processed in India, on servers located at ____________________. Where we engage service providers located outside India (for example, cloud infrastructure, analytics, or communication providers), your personal data may be transferred to, stored, or processed in such other jurisdictions, subject to appropriate contractual and security safeguards and in accordance with applicable law.

18. Changes to This Privacy Policy

We may update this Privacy Policy from time to time to reflect changes in our practices, technology, legal requirements, or business operations. Any material change will be notified by posting the updated Policy on the Platform with a revised "Last Updated" date and, where required by law, through additional notice (e.g., e-mail or in-app notification). Except where required by law, changes will not apply retroactively to personal data collected before the change without your consent. We encourage you to review this Policy periodically.
